  • Draft wills and trusts, including preparation of complex estate plans implementing marital deduction, unified credit, generation skipping, annual exclusion, “Crummey Powers,” valuation discounts and other estate and gift tax savings provisions; also including preparation and filing of IRS Form 709, United States Gift Tax Returns
  • Handle probate and trust administration, including complex administrations involving preparation and filing of IRS Form 706, U.S. Estate Tax Returns
  • Handle major commercial and real estate transactions, including mergers and acquisitions, divisive reorganizations, dissolutions and like-kind exchanges
  • Prepare and file IRS Form 1023, Application for Recognition of Exemption under Section 501(c)(3) of the Internal Revenue Code for non-profit corporations, including required articles of incorporation and bylaws
  • Negotiate and draft contracts for real estate and business sales in addition to other transactions and arrangements
  • Draft articles of incorporation; articles of organization; partnership agreements; operating agreements; buy-sell; non-compete; and other entity and entity-owner agreements
